Typically as the lender you take a 35% haircut if you convert but you would only convert once they get a 409A showing your initial valuation for the loan was off by a good 100% and they post something like a 40% CAGR telling you the next 409A will be at least double ahead of IPO. It’s free money on the table at that point. The note provisions have most favored nation clauses so the lender gets the same 409A access as an equity investor.

Like for realz - 6th years in their first year in-house are all at $300k BASE on the street. That ‘s not counting cash bonuses and stock. All the Glassdoor numbers are base comp for these roles. When they say $250-300k they mean $250-300k base which usually gets you another $100k in discretionary cash bonuses and $50-100k in RSUs on top. Very vanilla in-house guys on the street are all at $400k all in comp now. It’s even more when you add the very generous 401k matches and ESPP plans and free lunches. My last shop had a 10% match with no ceiling - anything over the 401k limit went into a defined benefit pension. If you manage a team - stack $200-300k top of that. Director duders are all at like $600k. MDs are near a million.
