In-house counsel

Make about 300k a year

Have 1.6m options at current valuation but who knows if that ever realizes

Legal department is a shit show. Weak and ineffective boss. Exec team is in shambles with just tons of political infighting. Revenue is flat. Everything is dysfunctional and it’s infuriating trying while everyone seems checked out.

The equity is tying me down hard and job market seems like shit. What can I do? Almost every day by end of day I just want to burn the place down and get drunk just to cope with rage from all the idiocy

50 percent only vests on sale so I’ll forfeit that right off the bat. Of the remaining amount, I think maybe half is still unvested. So maybe 400k is vested. They have an option to repurchase it if I quit but it’s unlikely they would since the company has been flat and the market sucks, better to keep cash on hand

check the shareholder agreement, you likely have to purchase your options within 30-90 days of exit and you'll pay tax on the difference between the 409a and the current valuation

Options are just RSUs with 0 basis or worth until exit. The company has 60 days to buy vested rsus otherwise would just let it ride like everyone else (probably preferable because PE rapes you on valuation if they buy back early).

My bread and butter is deals. Handled about 10 m&a deals in last two years. Any big commercial partnerships etc always come my way. But I also do other random shit. Handle about 80 percent of our active litigation, which is mostly just handled by outside counsel but it still takes time. (I hate doing this work.) All the corporate governance/maintenance work, just work with our finance/tax/treasury team a lot. I have a really broad remit. Part of my issue actually is that my job is do dependent on our GC. I’m his pet and it’s paid off but if he ever left I’d be fucked. He’s become extremely weak recently and it makes my job annoying as fuck.

Market’s very soft at in-house departments. I see people moving around for specialist roles, but not a lot with your sort of generalist skillset. Dealmaking is particularly weak.

But in ordinary times your skills are the more in demand end of the legal spectrum. Ride it out while looking for something with much stronger comp in the meantime? Geography changes are a PITA, so don’t be rash.

Sounds like you want to leave in which case it can't hurt to start looking. You also know the market is crap right now, but that doesn't change the strategy of "look until you get an offer that makes it worth jumping ship for."

If it were me, this doesn't sound terrible. There's always in-fighting in-house and I'm not a workaholic. Working remote is one of the most important things for me. Sounds like you're doing the work you want to do anyway so it isn't like you're relegated to shitty work that isn't interesting. So one thing you'll want to think about is what you really want. Is it more money? Is it more senior title/role?

What would make you "respect the people?" In-house isn't where you generally go if you to hang out with hard driving workaholics. Most of us went in-house specifically to avoid that bullshit. You could go to Amazon or Netflix or some other notorious sweatshop.
