Client was fucked but there was nothing we could do. The pages weren't sent contingent on our clients express release.
Same thing happened to me as a third year. Sent a revised draft simultaneously to all parties in the interest of time but failed to reserve for further comment and review.
It's a jungle out there. |

Partners and clients got on the phone and after some review of Westlaw on both sides we concluded failure to reserve is dispositive evidence of a unilateral offer.
Which as any 1L knows, when accepted forms a binding contract.
We were screwed. We couldn't even put in the name of our purchaser entity because it was still a placeholder entity TBD so they got to choose who bought the assets too. |
