~3-5M / yr "book"

partially contingent fee (in addition to above).

Could be much higher, could flounder at ~2M/yr.

how much should i ask for? guarantee?

not if you start it yourself. it'd give the perception that you're legit & confident enough to maek it on your own.

also, the "big team" thing is flame. you should know this already. "big teams" mean "big dollars" because you're billing non-attorneys at ridiculous rates to get coffee and print documents. at least as a solo, you can look someone dead in the eyes and tell them it means that they will be talking to you directly & won't be dealing with secretaries and whatnot. unless the book of business you have is mostly boomers, they'd instantly realize this means the same quality of work for less money.

The opportunity in question here is a firm that started 8 months ago. I don’t want to have to give them 12 months to pay me and chance it going under. I’d rather start my own place. They are only slightly more legit.

But you are right I am worried the funding won’t follow me to the new place and that after I leave the boss will make a push to take the cases at a discount and cut me out.

I get why you might think this is flame. But I am a plaintiff lawyer. I have 5 clients who have signed up with me, some of whom have repeat business, and the defendants across all the cases include virtually every big name company you can imagine, and a bunch of smaller names as well. There are almost no firms in the amlaw 100 that would either (1) want to take on the work due to current conflicts with these big name companies, and (2) would want to preclude themselves from ever taking work from these big name companies.

I am not currently at a "plaintiffs firm" i am at an amlaw 200 firm. In my plaintiff field, the defendants will not settle if they think they can outspend the defendant. Also, when you are seeking hundreds of millions in damages, its tough to maintain credibility as a solo.

just the nature of the game.

$1 mil guaranteed for 3 years with locked in share upside/earn-in for business origination milestones.

FWIW i went through a similar exercise when I was evaluating alternatives as a 6th year transactional associate representing a $750k book and got interest in the above structure as income partner at a fringe v100 with bonuses instead of shares starting at $600k, so I think you're in good shape. Never got to the point of the firm diligencing my purported book - some was originated, some were minor clients of rainmakers that I entirely managed - but I think they will want you to commit to a service partner role helping institutional clients of the firm to provide them some downside help if your originations don't deliver.
