out of state co hires in state co to perform consulting services. instate co provides those services over zoom, email, phone, etc. all from instate. out of state co doesn't pay bills. can instate co sue out of state co in instate state?

Minimum contacts analysis.

Does the contract have a choice of venue clause?

never said i was smart

but i know enough that there are a million personal jdx decisions going both ways based on sufficient contacts when the issue is breach of contract

so the answer to my op is not clear cut imo

obviously if i had included a forum selection clause, it would be clear cut

did they first reach out to you or did you first reach out to them.

They first reached into your Jurisdicition you signed contract here. Work performed here.

I would feel comfortable filing suit in my jurisdiction. I would include a jurisdictional basis in the original complaint I file.

I wouldn't even think twice about jurisdiction. Would include reason for jurisdiction in my complaint, of course, but I do that in every complaint.

Why did they reach out to you in the first place. Thst is what information did they have that prompted their solicitation of your services.

If you emailed them first trying to get work that’s not the same as them reaching into your state. If they saw you passively on some internet site advertising services and emailed you first then that’s them reaching in.

It’s not necessarily dispositive either way but you’re better off with the latter.

Again, I’d just file suit and mention why jurisdiction is proper.

It would be pretty shitty if a California company could avoid lawsuits by hiring some schmo in Vermont, conduct business with this person, and then say, "Sorry, we never were actually IN Vermont, see because it was all over Zoom. You have to fund counsel in California and litigate out here." Not happening.

Just as a small law story I once repped a chick that gave over $10k to a fortune teller in California. Everything happened in my state ( not California). I argued jurisdiction under some contract theory — and the local judge felt sorry for the dumb chick and gave us judgment.

It was like 20 years ago so I can’t remember the details but the fortune teller kept telling this dumb Filipina chick that there was a curse on the Chick that the fortune teller would remove.

what happened after you got the judgment, isn't it uncertain and hard to actually collect on it against a fortune teller?

Sure. My retainer was limited in scope and I told her what to do afterwards if she wanted to try to collect. She didn’t care just apparently needed to tell her dad she got a judgment in her favor. I think I charged $300 flat fee or something like that.

Flips, don’t give your daughters money without supervision or they’ll blow it on fortune tellers.
