Meanwhile IRL I have a tentative close today and Ropes & Gray are chasing me for a side letter, closing of bracketed cap table and ROFO language at 4am. The counterparty has a board meeting today and we need everything put away because they are European and on vacation after today so like 8 people have been working 16 hour days on this since Monday. The disclosure schedules run 73 pages. The packet that went to my board is 280ish pages and the shareholder consent that went to their “Requisite Holders” needed to be signed by 7 parties all but one of whom are passives and needed arm breaking to even get on a call. Most of the signatures are now in escrow save my Board consent as we have yet to fully close the cap table questions on “shares authorized” because we are haggling on dilution effects from year end grants and impacts to the share price so maybe nothing closes today over 5 cents a share and because Delaware law won’t let me do a board consent without a price floor.

The good thing about being a lawyer is that if we do manage to put these open questions to bed by noonish I have nothing else on my plate until Monday and can just poast 3+ days.
